Last updated: September 3, 2026
Welcome to Ledgeryt ("Ledgeryt", "we", "us", or "our"), an online bookkeeping and accounting platform for small businesses and self-employed people. These Terms of Service ("Terms") govern your access to and use of the Ledgeryt website and service (collectively, the "Service").
By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. The Service
Ledgeryt provides tools to help you manage your bookkeeping and accounting records, including accounts, transactions, invoices, bills, customers, vendors, and sales taxes. The Service is provided for general record-keeping and informational purposes only.
The Service does not provide accounting, tax, legal, or financial advice. You are solely responsible for the accuracy of your records and for ensuring that your use of the Service meets your legal, tax, and regulatory obligations. You should consult a qualified professional for advice specific to your circumstances.
2. Eligibility and Registration
To use the Service you must be at least the age of majority in your province or territory of residence and have the legal capacity to enter into these Terms. The Service is intended for business use.
When you create an account, you agree to provide true, accurate, current, and complete information, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
3. Authorized Users
You may invite other individuals to access the Service on your behalf (for example, team members or collaborators). If you grant access to another person, that person may view your information and perform actions on your behalf. You represent and warrant that you have the authority to grant such access, and you remain responsible for the acts and omissions of anyone you authorize to use your account.
4. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. This licence does not transfer any ownership rights in the Service to you.
5. Your Data
You retain ownership of the accounting data and content you enter or import into the Service ("Your Data"). You grant us a limited licence to use, store, and process Your Data solely to provide, maintain, and improve the Service. We do not claim any ownership over Your Data.
You are solely responsible for the accuracy, completeness, and legality of Your Data, and for obtaining any consents required to provide us with personal information about others (such as your customers or team members), in accordance with our Privacy Policy and applicable law.
6. Acceptable and Prohibited Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems, including through hacking, password mining, or similar means;
- Upload or transmit malicious code, viruses, malware, or other harmful content;
- Interfere with, impair, or disrupt the operation or security of the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as permitted by law;
- Use the Service to store or transmit content that is unlawful, infringing, fraudulent, defamatory, or otherwise objectionable;
- Use the Service to provide services to, or hold yourself out as, a third party; or
- Sell, lease, sublicense, or otherwise commercialize access to the Service.
7. Intellectual Property
The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Ledgeryt or its licensors and is protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, create derivative works of, or reverse engineer the Service, in whole or in part, without our prior written consent.
8. Privacy and Security
Your privacy is important to us. By using the Service, you confirm that you have read and accepted our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.
We implement administrative, technical, and physical safeguards designed to protect your information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. You provide your information at your own risk. If you discover a security-related issue, please notify us immediately and do not disclose it publicly until we have addressed it, unless required by law.
9. Third-Party Services
The Service relies on certain third-party components, including an email delivery service. Third-party websites or services that you may access through links are independent of Ledgeryt, and we are not responsible for their content, practices, or availability. Your use of any third-party service is at your own risk and is subject to that third party's own terms and policies.
10. Changes to the Service
We may add, modify, discontinue, or suspend any aspect of the Service at any time, with or without notice. We may also restrict availability in certain geographic locations or jurisdictions where necessary.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGERYT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Ledgeryt and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Data, your violation of these Terms, or your violation of applicable law.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, or if we suspect fraud or that your account has been compromised.
Upon termination, your right to use the Service ceases. We may delete Your Data in accordance with our Privacy Policy and applicable record-retention requirements, and we will not be liable to you for any such deletion. The provisions of these Terms that by their nature should survive termination (including Sections 5, 7, 11, 12, 13, and 15) will continue to apply.
15. Electronic Communications
By using the Service, you consent to receive communications from us electronically, by email to the address associated with your account, or by notices posted within the Service. Such communications have the same effect as written communications. You are responsible for keeping your contact information up to date.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for the resolution of any dispute arising out of or related to these Terms or the Service.
17. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ledgeryt regarding the Service and supersede any prior agreements or understandings.
- Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that or any other provision.
- Force Majeure. We will not be liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, power or internet failures, or third-party service interruptions.
18. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page with a new "Last updated" date, and, for material changes, we will provide reasonable notice. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
